Mitel MLB All-Star Game Contest Terms & Conditions

Eligibility: The All Mitel Contest (the “Contest”) is open to all Cloud Sub-Agents and Value Added Resellers (VARs) actively selling MiCloud Connect and MiCloud Flex products. Residents of Rhode Island are excluded from eligibility. 
 
Eligibility Period: Winners will be selected based on highest Monthly Reoccurring Revenue (MRR) booked by Mitel from April 1, 2018, through June 30, 2018 (“Eligibility Period”). 
 
Rules to Participate: Contest is open to all Cloud Sub-Agents and VARs selling MiCloud Connect and MiCloud Flex products. Only valid for MiCloud Connect and MiCloud Flex sales bookings. Orders must also qualify as sales under the applicable Agent Agreement with Mitel.
 
Prizes: Each of the three (3) winners will receive two (2) tickets for use by winner and one (1) guest for each of the 2018 MLB® SiriusXM All-Star Futures Game®, Legends & Celebrity Softball Game®, All-Star Game® presented by Mastercard and the T-Mobile Home Run Derby®, roundtrip coach class airfare for winner and one (1) guest between a major airport nearest winner’s residence and Washington, D.C., and hotel accommodation for three (3) nights (one [1 standard double occupancy room) at a hotel in Washington, D.C. of Sponsor’s choosing (each, a “prize”). (Approximate retail value of total prizes: $3,500.) GROUND TRANSPORTATION NOT INCLUDED. For winners within 100-mile radius of Washington D.C. car service will be provided in leu of airfare. No cash or other prize substitution permitted. The prizes are non-transferable and non-assignable. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of each individual winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. The prizes do not include tickets to or for any game, event or exhibition during the 2018 MLB All-Star Week™ other than as specifically set forth herein. Limit one (1) prize per person, family or household. Seat locations at the game/event/exhibition(s) shall be determined in the sole discretion of Sponsor. Each winner’s guest must be of legal age of majority in his/her jurisdiction of residence (and at least eighteen (18) years of age), unless accompanied by a parent or legal guardian. Major League Baseball game, event and exhibition dates and times are determined in the sole discretion of the BOC and/or the applicable Club, as applicable, and may be subject to change. The terms and conditions of the tickets awarded as part of any prize will govern in the event a legal game, event or exhibition, as defined by Major League Baseball, is not played or held, as applicable, due to weather conditions, an act of God, an act of terrorism, civil disturbance or any other reason. Each winner and his/her guest agree to comply with all applicable ballpark and venue, as applicable, regulations in connection with the prize.  Sponsor and the applicable MLB Entities reserve the right to remove or to deny entry to any winner and/or his/her guest who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game, event or exhibition. Sponsor and the MLB Entities will not be responsible for weather conditions, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the cancellation or postponement of any Major League Baseball game, event or exhibition. Major League Baseball game, event and exhibition tickets awarded as prizes may not be resold or offered for resale or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and prize forfeiture, and may invalidate the license granted by the game, event or exhibition tickets.
 
Trip must be taken on dates specified by Sponsor or prize will be forfeited. Travel and hotel accommodation restrictions apply. Travel arrangements must be made through Sponsor’s agent and on a carrier of Sponsor’s choice.  Each winner and his/her guest are responsible for obtaining all required travel documents, including passports and visas (if applicable) prior to travel and must have no impediment to entering the United States.  Each winner and his/her guest must travel together on the same itinerary.
 
Publicity Release: Acceptance of a prize constitutes permission for Mitel to use winner's name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.
 
Winner Selection and Notification: Winners of the Contest will be the top two (2) Agents and top one (1) VAR. Winners will be selected based on highest Monthly Reoccurring Revenue (MRR) during the Eligibility Period. Winners will be notified via email or phone within five (5) days following the winner selection (June 30, 2018). All decisions by Sponsor regarding the Contest shall be final and binding in all respects. In the event of a tie for the top two (2) Agents, Sponsor will review prior quarter (January 1-March 31, 2018) sales bookings and the Agent with highest MRR will be deemed the winner.
 
Terms: Mitel reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Contest. Mitel reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Contest or website or violates these Terms & Conditions. Rhode Island businesses may not participate. The Contest is subject to all applicable federal, state, territory, provincial and local laws, rules and regulations.  The Contest is a skill contest and may not be used for, or in connection with, any form of gambling. This Contest is in no way sponsored, administered, executed or produced by any MLB Entity. The “MLB Entities” shall mean the Office of the Commissioner of Baseball (“BOC”), its Bureaus, Committees, Subcommittees and Councils, the Major League Baseball Clubs (“Clubs”), MLB Advanced Media, L.P., Major League Baseball Properties, Inc., The MLB Network, LLC, each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities.

Limitation of Liability: Any participant hereby waive any right to damages for any act or omission taken by Mitel in the Contest. Sponsor and the MLB Entities make no warranties, express or implied, relative to the use or enjoyment of any prize (or any portion thereof) including, without limitation, its quality, merchantability or fitness for a particular purpose. Each individual eligible for this Contest agrees to indemnify, hold harmless and fully release Sponsor and the MLB Entities from any and all claims, demands, losses, promises, causes of action and/or liabilities for any injuries, losses, death, or damages of any kind caused, directly or indirectly, in whole or in part, by participation in, or preparation for, the Contest, Contest-related activity, or resulting from the acceptance, possession, quality, use or misuse of the prize (or any portion thereof) including any travel or activity related thereto. Each individual eligible for this Contest agrees that under no circumstance will such individual be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses; and that any and all disputes, claims, controversies or causes of action arising out of or relating to this Contest or any prizes awarded (“Claim”) shall not be consolidated or joined with or in any proceeding involving a Claim of any other party.
 
Winners Information: For the winners’ names, mail a request and a self-addressed, stamped envelope to be received by December 31, 2018, to All Agents and VARs Mitel Contest Winners List c/o Mitel, 5850 Granite Parkway, Suite 600, Plano, TX 75024.
